1. About NW Business Operations
NW Business Operations is a UK-based sole trader providing operational and strategic support services to business clients in the UK, EU and internationally.
By engaging my services, you agree to these Terms and Conditions alongside any individual service agreement or contract signed between us.
2. Services
Services are provided on an hourly basis and structured around defined blocks of time.
All work is strategic and operational in nature. Services do not constitute legal, financial, tax, or regulated professional advice.
3. Minimum Engagement
A minimum 10-hour block is required before work begins.
The 10-hour block:
- Must be paid in full in advance
- Is non-refundable
- Secures dedicated time and availability
Work will not commence until payment for the initial 10-hour block has been received.
Once the 10-hour block is completed, work pauses pending client confirmation to continue.
4. Ongoing Work Beyond the Initial Block
If the project continues beyond the initial 10 hours:
- Additional hours will be recorded and invoiced
- Payment is due within 7 days of invoice
- Deliverables or final materials may be withheld until payment is received
No estimates of total project hours are provided. The duration of work depends on scope, complexity, communication, and access to required information.
No fixed deadlines are guaranteed.
5. Scope of Work
Work is delivered based on the agreed scope outlined in the individual contract.
Any additional work or changes to scope:
- Must be agreed separately
- Are subject to availability
- May require additional hours
NW Business Operations reserves the right to decline additional scope outside agreed parameters.
6. Cancellation and Termination
After the initial 10-hour block:
- The client may terminate the engagement at any time
- All time spent beyond the prepaid block remains payable
- Outstanding invoices must be settled before final materials are released
Where a client elects to terminate a project, confirmation in writing may be required.
NW Business Operations reserves the right to terminate services where:
- Payment obligations are not met
- There is abusive, inappropriate, or unethical conduct
- There is a material breach of agreement
7. Payment Terms
All invoices are issued via FreshBooks.
- Currency: GBP only
- Payment due: 7 days from invoice date
- Late payment fees may apply in accordance with UK law
Clients are responsible for any currency conversion or international banking fees.
8. Intellectual Property
Upon full payment of all fees due:
- The client owns the final deliverables produced specifically for their business
However:
- NW Business Operations retains ownership of all underlying methodologies, templates, frameworks, systems, processes, and intellectual property used in the delivery of services
Nothing in this agreement transfers ownership of proprietary methods or materials beyond the specific deliverables created for the client.
9. Confidentiality
In the course of providing services, confidential business information may be shared.
All client information will be treated as confidential and will not be disclosed to third parties except:
- Where required by law
- Where necessary to deliver services (for example, professional advisers bound by confidentiality obligations)
Specific confidentiality obligations will be further defined within individual client agreements.
10. Limitation of Liability
To the fullest extent permitted by law:
- Total liability shall not exceed the total fees paid by the client under the relevant agreement
NW Business Operations shall not be liable for:
- Indirect or consequential losses
- Loss of profit, revenue, business opportunity, or reputation
Clients remain responsible for business decisions and implementation of advice provided.
11. Professional Disclaimer
Services provided are strategic and operational in nature.
Nothing provided constitutes:
- Legal advice
- Financial advice
- Tax advice
Clients are responsible for seeking independent professional advice where required.
No guarantee is made regarding business outcomes or performance.
12. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
These Terms and Conditions may be updated from time to time. The latest version will always be available on this website.
